Terms and conditions
Scope
These Terms and Conditions apply to both services and goods.
By completing the order form or placing an order, the customer accepts these Terms and Conditions.
Invoicing
For business customers with a Belgian VAT number, invoices are sent by default electronically via the Peppol network, in accordance with Belgian legislation. Such customer shall ensure an active Peppol registration. All other customers receive their invoice by e-mail or by post, unless otherwise agreed. An invoice sent via Peppol is deemed received on the date of dispatch.
Although the Peppol network increases security, the customer must verify the data on the invoice themselves before payment. The supplier is not liable for damages resulting from fraud or technical errors at the Peppol access points of the customer or third parties.
Late payment
In the event of total or partial non-payment by the customer within 14 calendar days (+ three working days if not by electronic means) after sending the first payment reminder, compensation shall automatically and without formal notice be due, amounting to:
- €20 if the amount due is less than or equal to €150;
- €30 plus 10% of the amount due above €150;
- €65 plus 5% of the amount due above €500, with a total limit of €2.000.
In the event of total or partial non-payment by the customer within 14 calendar days (+ three working days if not by electronic means) of the sending of the first payment reminder, the customer shall automatically and without formal notice be liable for interest at the legal rate for late payment in commercial transactions, in accordance with article 5, paragraph 2 of the Law of August 2, 2002 on combating late payment in commercial transactions. This interest shall be calculated on the sum still to be paid.
Disputes about invoices
The customer shall check the invoice immediately. Any dispute must be made in writing and with reasons within 8 calendar days of the invoice date. After this period, the invoice and the delivery shall be considered definitively accepted.
Ownership and risk
As long as goods and services delivered have not been paid for in full, they remain the property of the supplier. Nevertheless, all risks are transferred to the purchaser from the moment of delivery.
Subscriptions
Subscriptions are renewed automatically, unless the subscription is terminated in writing on time, being at least one (1) month before the expiry of the term.
Non-performance
If the customer fails to meet his obligations on time, including his payment obligation, we are entitled to stop further deliveries and services and to consider the agreement terminated by law and without formal notice.
Jurisdiction
In the event of a dispute, only the authorized courts of the jurisdiction shall have jurisdiction.
